 Hi Lan, It worked! I mounted the guest OS and see that the vmlinuz and initrd is not for virtualized (the filename is vmlinuz-xxx-generic).  So I replaced them to vmlinuz-xxx-virtual (when I apt-get linux-virtual, suddenly vmlinuz-<version>-virtual poped up in my dom0 /boot directory), and then, it worked!
