I solved a similar problem with Windows Home Server 1 doing the same. My 
Network Card is an onboard RTL8111/8186B PCI Expree which to my 
knowledge has no offloading capabilities. I disabled other 
"optimizations" in the xen pv net driver too because I don't know what 
component actually should do that. Now these connections are a bit 
faster than the paravirtualized ones ;-) . I don't have much more cpu 
load in my Dom0.
