Boot/system disk is most often hda, and cdrom is hdc,
so you might want to swap the order..

Dunno if that'll make a difference, but HVM guests
definitely do work on 4.0 and 4.1 versions.

(Unless if you have a gcc 4.6, then you need extra patch,
which is already in xen 4.x trees.)

Consider using 'e1000' instead, that's the best emulated NIC available.
