to solve this you may install a "xen"-kernel ( linux-image-2.6-xen* ) or change "sda" to "xvda" ( http://wiki.xensource.com/xenwiki/Kernel.org_Linux_on_Xen )

My experience is that either "sda" or "xvda" work in redhat 5-like domU's
but for redhat 4-like domU's you have to use xvda (that is, when dom0 is also redhat5-like). Is there any reason
why that would be?
