I did some tests and get a configuration working

title           Xen 4.0-amd64 / Debian GNU/Linux, kernel 2.6.32.19
root            (hd0,0)
kernel          /boot/xen-4.0-amd64.gz dom0_mem=524288 console=com1 
com1=115200,8n1,0xf1c0,0  sync_console
loglvl=all guest_loglvl=all acpi=ht noapic noirqbalance
module          /boot/vmlinuz-2.6.32.19 root=/dev/md0 ro console=tty0 
console=hvc0 nomodeset
module          /boot/initrd.img-2.6.32.19


With "acpi=ht noapic noirqbalance" it seems to be stable.

Without that options i get freezes soon after rebooting but there are no logs 
an the serial output.
Kernel 2.6.31.14 didn't work as well  and the other working kernel without that 
acpi options is
2.6.31.9 but thats not a pvops kernel.
