Kernel sources should be in the source ISO you can find on the main XCP download page. Please could you retry the modprobe and then run dmesg to see if the kernel said what the problem was. You did use kernel-xen-devel-2.6.32.43-0.4.1.xs1.6.10.734.170748.i686.rpm, right? That's from the "Binary Package" ISO from the XCP downloads (it's slightly confusingly listed under "Source Distribution").
